Order: In the Matter of Alexis Capital Advisors Inc.

AND
IN THE MATTER OF
ALEXIS CAPITAL ADVISORS INC.
ORDER
(Section 127(1))
WHEREAS on August 25, 1999, the Ontario Securities Commission (the"Commission") issued a notice of hearing pursuant to section 127(1) of the Securities Act(the "Act") in respect of Alexis Capital Advisors Inc. ("Alexis");
AND WHEREAS Alexis entered into a settlement agreement dated August 25, 1999(the "Settlement Agreement") in which it agreed to a proposed settlement of theproceeding, subject to the approval of the Commission;
AND UPON reviewing the Settlement Agreement and the statement of allegationsof Staff of the Commission, and upon hearing submissions from Alexis and from Staff ofthe Commission;
AND WHEREAS the Commission is of the opinion that it is in the public interest tomake this Order;
IT IS ORDERED THAT:
1. the Settlement Agreement dated August 25, 1999, attached to this Order, is herebyapproved;
2. pursuant to clause 6 of subsection 127(1) of the Act, Alexis is hereby reprimanded;and
3. pursuant to clause 1 of subsection 127(1) of the Act, the registration granted toAlexis shall be subject to the following additional terms and conditions, effectiveimmediately:
(a) Alexis shall deliver to the Commission, within three weeks of the end of eachfiscal quarter, and beginning effective July 31, 1999, a certificate in the formattached as Schedule 'B' to the Settlement Agreement, signed by thePresident of Alexis;
(b) Alexis shall at all times maintain a minimum free capital equal to the amountcalculated pursuant to section 107 of the Regulation, plus an additional$15,000; and
(c) If at any time Alexis fails to comply with any of the terms and conditions setout in paragraphs 3(a) or 3(b) above, or any of the terms and conditionsimposed on Alexis's registration by the Director on July 15, 1998, thenAlexis's registration will, at the instance of the Director, and without the needfor the Director to conduct a hearing, be automatically suspended pendingfull compliance with the terms and conditions.
